Contract and Privacy for Promoter / Supervisor – PrenoPR

Part I – Terms and Conditions

Preamble – Scope of application

This document establishes the Terms and Conditions for participants in the PrenoPR Referral Program in the role of Promoter. Those who become a Supervisor also accept Part B.

PART A – COMMON RULES (Promoter and Supervisor)

1. Subject of the contract

PrenoPR provides a technological platform that generates tracked links, sends QR codes, manages check-ins, notifications, coupons, and reports. The participant acts in full autonomy, without time constraints or subordination.

2. How it works

  • Shares their personal link.
  • The customer books and receives a QR via WhatsApp.
  • The customer shows up: check-in via QR or verbally (the Owner records it).
  • The participant receives coupons for each validated customer.
No compensation for: simple sharing, referral of other users, bookings without check-in.

4. Specific rules for repeat bookings and promoter change

  • First booking: “new”.
  • Same promoter, same customer: “repeat”.
  • Promoter change: the new promoter takes “new”, the old one loses the customer.
  • Direct booking: no commission.

5. Use of the coupon – freedom of assignment, responsibility, fraud mitigation

The coupon is to the bearer. The participant can assign it (gift, sell, exchange) freely. PrenoPR does not prohibit nor encourage assignment, but assumes no responsibility for external transactions, disputes, losses, or fraudulent uses following the assignment. It is forbidden to use the PrenoPR name or logos in sales advertisements without authorization. PrenoPR is committed to mitigating fraudulent uses with monitoring systems and suspensions, without obligation of result.

6. Coupon expiration and transfer

Validity 12 months. Upon expiration, coupons are transferred to the Gamification Fund.

7. Venue closure or non-compliant behavior of the owner – fate of the coupons

PrenoPR is not responsible for the fate of coupons in case of cessation of activity, withdrawal, or exclusion of the venue. Coupons are non-refundable. PrenoPR may (discretionally) activate mitigation measures through the Gamification Fund, without obligation.

9. Obligations and prohibitions

  • Prohibition of bypass (direct agreements with venue).
  • Prohibition of spam.
  • Obligation to communicate no-show (at least 2 hours).
  • Prohibition of improper use of the PrenoPR name/logo.
Violations → warning, suspension, exclusion.

10. Anti-MLM clause

No compensation for recruitment. Every compensation is linked to validated customers.

11. Withdrawal and suspension

Voluntary withdrawal at any time (loss of coupons). Suspension/exclusion for violations.

12. Platform limitation of liability

PrenoPR is not liable for indirect damages, loss of opportunity, force majeure. Maximum liability limited to the value of coupons accrued and not expired in the previous 12 months.

13. Official communications

Email or WhatsApp Business API have legal value.

14. Amendments to the contract

30 days' notice. Withdrawal without penalties if not accepted.

15. Applicable law and competent court

Italian law. Exclusive court: Milan.

PART B – ADDITIONAL PROVISIONS FOR THE SUPERVISOR

  • B.1 Requirements: Aura Gold + 50 validated customers.
  • B.2 Role: support, backup, informal training.
  • B.3 Compensation: coordination bonus as per table (art. 3).
  • B.4 Maximum 10 Promoters supported.
  • B.5 Aura = average of supported Promoters. If <70% for two months, revocation.
  • B.6 Revocation also for violation of support obligations.

Part II – Privacy Policy

Contract execution, legitimate interest (anti-fraud), legal obligations, consent (marketing).

Profile 24 months after last activity; tracking 36 months; fiscal 10 years; chat 12 months.

5. Rights

6. Complaint to the Authority
